Will my investors still have to verify again if they have already been verified as an accredited investor?

If you meet all the following criteria, you do not have to verify your accredited investor status again:

  1. You have previously invested in the same company within the last five years.
  2. At the time of your investment, you provided a written representation from a licensed CPA, attorney, broker-dealer, or investment advisor to confirm your status as an accredited investor.
  3. The issuer currently offering shares is not aware of any information that contradicts your accredited investor status.

You may also not need to verify your accredited investor status if within the last three (3) months:

  1. You invested in the Issuer's Regulation D 506(c) offering on the DealMaker platform ("Initial Investment")
  2. At the time of your Initial Investment, you were verified as an accredited investor through the DealMaker platform (regardless of the type of evidence provided to verify your status)
  3. The Issuer is currently offering shares is not aware of any information that contradicts your accredited investor status.

If you do not meet all conditions for either option, you will need to verify your accredited investor status for every Regulation D 506(c) offering that you would like to participate in.
