# Bad Actor Check

## Who will require a Bad Actor Check (BAC) and what will be asked of them?

BACs are required for those in your company who fall into any of the below categories:

- Director (all individuals on your board, however not informal advisors);
- Officer (this includes anyone with "officer" in their title);
- Any person or entity that holds 20% or more of the company;
- Promoters associated with the issuer at any time during the sale; and
- Person compensated for soliciting the investor.

To conduct a BAC, you will be required to provide the following:

- Full legal name
- SSN/TIN
- Phone number
- Address
- Date of birth
